CONTEST OPEN TO U.S. RESIDENTS ONLY

CONTEST ONLY OPEN TO LEGAL RESIDENTS OF THE U.S. RESIDING IN THE U.S. (CONTEST VOID OUTSIDE THE U.S.) THROUGHOUT THE PROMOTION PERIOD WHO ARE 18 YEARS OF AGE OR OLDER.  THE CONTEST SHALL BE CONSTRUED AND EVALUATED ACCORDING TO THE UNITED STATES LAW.  VOID WHERE PROHIBITED.

HOW TO PARTICIPATE:
No Purchase Necessary. No entry fee, payment or proof-of-purchase necessary to participate in the Green Giant® Fresh Klondike Rose™ “Picture Rose” Photo Contest (the Contest). Purchase will not improve the chances of winning. The Contest begins April 6, 2008 at 12:01 a.m. MT and ends July 26, 2008 at 11:59 p.m. MT which is the culmination of the Contest.

To participate, go to www.klondikerose.com during the Promotion Period and click on the link.  There you will be asked to register for the Contest by entering your true and correct information on the Registration Form.  After entering your registration information, upload your picture per instructions, click on the “Submit” button to receive one (1) entry into the contest. Entrants will be required to submit a photo no greater than a 4” x 6” at 300 dpi that depicts a Klondike Rose™ Potato dressed as “Rose.”  Pictures submitted any larger than 4” x 6” or greater than 300 dpi will be automatically disqualified from the Contest. 

LIMIT:
Except as noted in these rules, information collected from the entrant is used only for the purpose of winner notification, and will not be sold or shared in any manner by Potandon Produce L.L.C. (sponsor) or any third parties unless entrant has elected to receive additional information and promotional material from Potandon Produce.  In the event of any discrepancy between the privacy policy and these Official Rules, these Official Rules shall control and govern.  By entering the Contest, you agree to all of the terms and conditions of the Contest Policy. 

PRIZE:
One (1) Grand Prize of $1,000 will be awarded to the winner of the finalist round.  Each week one picture will be chosen to be entered into the finalist round and will receive $100.  Any honorable mention awards (at sponsors discretion) will receive a Klondike Rose t-shirt.  All other expenses not specifically mentioned herein are solely the responsibility of prize winner.  All retail values stated in United States Dollars (USD).

DRAWING:
Prize winners will be selected by the judging committee from among all eligible entries received weekly.  Entries will be deemed made by authorized account holder of the email address submitted at time of entry.  The authorized account holder is defined as the natural person who is assigned an email address by an Internet access provider, online service provider or other organization that is responsible for assigning email addresses or the domain associated with the submitted email address.  Judging  will be conducted on or about Wednesday of the week following the end of each week of the Promotional Period and the finalists will be judged on or about the 15th of the month after the end of the Promotional Period by a judging panel at Potandon Produce whose decisions shall be final.  Odds of winning depend upon the number of eligible entries received.  All prizes will be awarded.

WINNER NOTIFICATION:
Potential prize winners will be notified by mail, email and/or telephone at the address and/or telephone number provided on the Registration Form.  A potential winner must provide Potandon Produce with satisfactory proof that he/she is the authorized account holder of the email address associated with the potentially winning entry.  Prize winners will be required to sign and return an Affidavit of Eligibility/Liability Release with (where lawful) a publicity release within thirty (30) days of the date on the notification letter.  If any required documents are not returned within the required number of days, or if mail is returned to Potandon Produce as undeliverable mail without a forwarding address, the prize may be forfeited and an alternate winner may be selected at Sponsor’s discretion.  Any portion of a prize not accepted by winner shall be forfeited.  If applicable, allow 10-12 weeks for delivery of prize following completion of notification process. Prize will only be delivered to addresses within the United States. Limit one prize per email address and/or household.

ELIGIBILITY:
YOU MUST BE 18 YEARS OF AGE OR OLDER AND A LEGAL U.S.  RESIDENT RESIDING THE UNITED STATES  (CONTEST VOID OUTSIDE THE U.S.) THROUGHOUT THE PROMOTION PERIOD TO BE ELIGIBLE TO WIN.  Potential winner may be required to provide proof of legal U.S. residency if requested by Sponsor to determine eligibility and as a condition of prize award.  Employees of Potandon Produce L.L.C. and all of its respective parents, subsidiaries, divisions, affiliates, suppliers, printers, distributors and advertising, promotional and judging agencies and the immediate family members of each, are not eligible to participate or win.

GENERAL:
This promotion is conducted in English (which will be given its everyday ordinary meaning), and any and all disputes will be resolved in accordance with the laws of Idaho without regard for conflict of laws principles.  No substitution of prize is offered, no transfer of prize to a third party is permitted and non-cash prizes may not be redeemed for cash value, except as determined by Potandon Produce in its sole discretion.  Prize winners will be solely responsible for all applicable federal, state and local taxes on prizes.  If applicable, winners may receive an IRS Form 1099 for the retail value of the prize.  All other expenses on the receipt and use of the prize not specifically mentioned herein are solely the responsibility of the winners.  Any portion of a prize not accepted by winners will be forfeited.

CONDUCT:
By participating in this promotion, participants agree to be bound by these Official Rules and the decisions of the judges that shall be final and binding in all respects.  The Official Rules will be posted on the Web Site throughout the Promotion Period.  Failure to comply with these Official Rules may result in disqualification.  Potandon Produce reserves the right at its sole discretion to disqualify any individual found to be tampering with the participation process or the operation of the Contest or the Web Site; or to be acting in any manner deemed by Potandon Produce to be in violation of the Official Rules; or to be acting in any manner deemed by Potandon Produce to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person.  CAUTION: ANY ATTEMPT BY A USER OR ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, POTANDON PRODUCE RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

LIMITATIONS OF LIABILITY:
 Potandon Produce assumes no responsibility or liability for (a) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (b) any unauthorized access to, or theft, destruction or alteration of entries at any point in the operation of this Contest; (c) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, satellites, servers, computers or providers utilized in any aspect of the operation of the Contest; (d) inaccessibility or unavailability of the Internet or the Web Site or any combination thereof; (e) any injury or damage to participants or to any other person’s computer which may be related to or resulting from any attempt to participate in the Contest or download of any materials in the Contest.  If, for any reason, the Contest is not capable of running as planned for reasons which may include without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Contest, then Potandon Produce reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest in whole or in part.

WINNER RELEASES:
All participants, as a condition of participation in the Contest, agree to release Potandon Produce L.L.C., its partners, parents, subsidiaries, divisions affiliates, suppliers, printers, distributors and advertising, promotional or judging agents, from and against any and all liability, claims or actions of any kind whatsoever for injuries, death, damages, or losses to persons or property which may be sustained in connection with accessing the Web Site, participating in any aspect of the Contest, the receipt, ownership or use of any prize awarded, or while preparing for, participating in or traveling to or from any prize-related activity or any prize-related activity or any typographical or other error in the Official Rules or the announcement of offering of any prize.  The winner shall bear all risk of loss or damage to their prize after it has been delivered.  Potandon Produce makes no representations or warranties of any kind concerning the appearance, safety or performance of any prize.  Except for where prohibited by law, winner grants to Potandon Produce the right to print, publish, broadcast and use worldwide in any media now know or hereinafter know (including without limitation use online at the Web Site) the winner’s name, address, voice, statement, picture or other likeness, without additional compensation, for public relations, advertising and promotional purposes as may be determined by Sponsors.
